Definitions
"REFRY" means REFRY Ltd, the Service Provider. "Client" means the business receiving the cooking-oil filtration service. "The Service" means filtration of used cooking oil using the VITO Oil Filtration System, performed at the Client's premises. "Visit" means one attendance at the Client's premises by REFRY. "Filtration" means filtering the oil in one fryer on one occasion.
1. The Service
1.1 REFRY filters used cooking oil and performs oil-quality testing using the VITO Oil Filtration System and the VITO FT-440 Oil Tester at the Client's premises, to extend oil life and improve food quality. Each Visit also includes a vacuum-clean of the fryer to remove debris and sludge.
1.2 Each Filtration takes approximately five minutes per fryer. The Client must turn off the relevant fryer(s) and provide uninterrupted access for up to 10 minutes per fryer.
2. Fees and Free Trial
2.1 New Clients receive a free one-week trial, consisting of two service Visits (Monday and Friday) in a single filtering week. The trial is available once per Client and per premises. It is tailored to how the Client fries, and includes the oil-quality test and fryer vacuum-clean, so the Client can judge how their oil performs on the REFRY schedule.
2.1a REFRY is a new business and its service may not be appropriate for every food business. Fryers used very heavily, run at high temperatures, or used for high-debris food (such as battered fish or heavy breading) may degrade oil faster than filtering can offset. The trial is intended to let the Client judge whether the REFRY schedule suits their particular business.
2.1b If the two trial Visits do not give the Client a conclusive picture of whether the REFRY schedule is appropriate for their business, REFRY may provide a second set of two free service Visits (Monday and Friday) in a later filtering week. If, after this, the Client decides the service is not right for them, they may stop with no obligation and nothing is payable.
2.1c Trial terms are set out in REFRY's separate Free Trial Agreement, which the Client signs before the first Visit. Where the Free Trial Agreement and these Terms differ in respect of the trial period, the Free Trial Agreement applies for the duration of the trial.
2.2 To continue after the trial ends, the Client pays one month's fee in advance before the next Visit.
2.3 REFRY is not VAT-registered. All fees stated are the total amount payable; no VAT is charged.
2.4 The Service is delivered on fixed filtration days, Monday and Friday. At each Visit, REFRY performs one Filtration of each fryer serviced.
REFRY filters used cooking oil at £12 per Filtration (per fryer, per occasion), with no VAT and no contract. The number of Filtrations required depends on how heavily the Client fries; the free trial helps determine this.
As a guide: a fryer whose oil is normally changed weekly is filtered on Monday and Friday on alternate weeks (about 4 Filtrations a month, around £48), so the oil lasts two weeks instead of one. A fryer changed twice weekly, or a second fryer, is filtered more often (about 8 Filtrations a month, around £96).
Illustrative savings are based on a 20L change of rapeseed oil at £29.99 (including delivery) plus approximately one hour of staff labour per change. On this basis, replacing one weekly oil change with filtering saves approximately £37 per month (about £450 per year). Replacing two weekly changes — whether one fryer changed twice weekly or two fryers each changed weekly — saves approximately £75 per month (about £900 per year). All savings figures are illustrative estimates as set out in clause 2.6 and are not guaranteed.
2.5 The Client may change the service frequency or fryer count by giving at least 24 hours' written notice. Fee changes take effect from the start of the next calendar month. Increases may be arranged sooner subject to availability.
2.6 Any estimate of cost or oil savings provided by REFRY is based on a standard commercial fryer holding approximately 18–25 litres of oil. Fryers within this range can be expected to achieve the optimum saving. Fryers holding significantly less or more oil, or used at different frequencies or temperatures, may achieve different results. Any savings figures are illustrative estimates only and are not guaranteed.
3. Scheduling, Access and Missed Visits
3.1 REFRY and the Client will agree the day and approximate time of each Visit in advance. The Client must provide safe and unobstructed access to the premises, fryers and oil at the agreed time.
3.2 If the Client cancels a Visit with less than 24 hours' notice, or REFRY is unable to perform the Visit because no one is present or access cannot be obtained, the Visit is forfeited. It will not be rescheduled and no credit will be given against the monthly fee.
3.3 If REFRY is unable to attend for its own reasons, REFRY will either reschedule the Visit or credit it against the following month's fee.
3.4 The Client may reschedule a Visit with more than 24 hours' notice. REFRY will offer an alternative day within the same week where possible.
4. Allergens and Dietary Claims
4.1 The Service is unsuitable for any fryer used to prepare allergen-free, gluten-free, coeliac-safe, vegan, vegetarian, halal, kosher or medically restricted food. REFRY reuses filter paper for up to the manufacturer's recommended number of uses and carries out regular wipe-downs of the hoses and external surfaces of the equipment. Allergen proteins and dietary contaminants may nonetheless remain on filter media and inside internal pump pathways, and cannot be removed by wiping or filter replacement alone.
4.2 Before the first Visit the Client must confirm, via the booking process, that their fryers are used for general cooking and that they make no allergen-free or dietary-specific claims. By accepting these Terms the Client repeats those confirmations and agrees to inform REFRY immediately in writing if their fryer use or dietary claims change.
4.3 REFRY does not certify any fryer, oil or food product as allergen-free, gluten-free, vegan, vegetarian, halal or kosher. The Client remains fully responsible for its own allergen-management procedures, food-information labelling and customer communications.
4.4 The Client shall indemnify REFRY against all losses, claims, costs and liabilities arising from:
(a) inaccurate or incomplete information provided by the Client about fryer use, allergen practices or dietary claims;
(b) the Client's own food-handling, allergen-management or labelling practices; and
(c) cross-contamination occurring within the Client's premises.
4.5 Nothing in these Terms removes or reduces the Client's legal obligations under UK food-safety, allergen-information or consumer-protection law (including the Food Information Regulations 2014 and FSA guidance).
5. Oil Quality, Safety and Use
5.1 The VITO oil-quality test is provided for indicative guidance only. It is not a safety test, certification, or warranty of any kind, and must not be relied upon as the sole basis for determining oil safety or quality. The Client retains sole responsibility for deciding when oil has reached the end of its usable life and must be replaced.
5.2 REFRY has no control over how the Client cooks with the oil, including frying temperatures, food types, volumes or holding times. REFRY gives no warranty or guarantee regarding oil stability, food safety or food quality.
5.3 If the Client has any doubt about the condition of the oil, the Client should replace the oil rather than continue filtration.
5.4 The Client confirms that fryers presented for service are in a clean and safe operating condition. REFRY may decline to perform a Visit on a fryer that, in REFRY's reasonable opinion, is unsafe, damaged or unsuitable, without affecting the monthly fee.
5.5 Oil Wastage. Where a fryer's oil contains excess sludge, sediment or debris, a portion of the oil may be impossible to extract and filter. This is a normal limitation of the filtration process and is not a fault of REFRY. As a result, the volume of oil returned to the fryer may be slightly less than the volume present before filtration. REFRY does not carry replacement oil and cannot top up the Client's fryer. Topping the fryer back up to its working level is the Client's responsibility and is done at the Client's expense using the Client's own spare oil held on site. The Client shall not hold REFRY liable for this wastage or for the cost of topping up.
6. Liability
6.1 REFRY's total liability to the Client in respect of any claim arising under or in connection with these Terms shall not exceed the total fees paid by the Client to REFRY in the three months preceding the claim.
6.2 REFRY is not liable for any indirect or consequential loss, including loss of profits, loss of business, loss of goodwill or food spoilage, except where caused by REFRY's negligence.
6.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.
6.4 The Client indemnifies REFRY against all claims, damages and liabilities arising from the Client's use, reuse or overuse of filtered oil, including claims relating to allergens, food poisoning, fires or equipment misuse.
7. Indemnification — Plain English Summary
By signing up, the Client agrees that REFRY is not financially responsible for harm or losses caused by:
how the Client cooks with the oil after REFRY has filtered it;
incorrect information the Client gave REFRY about their fryers or dietary claims;
the Client's own kitchen practices, hygiene or staff conduct;
the Client deciding to keep using oil after the test or after REFRY has advised replacement.
This means if a customer of the Client makes a claim against REFRY arising out of any of the above, the Client will cover REFRY's costs of dealing with that claim.
8. Termination
8.1 Either party may terminate this agreement by giving 24 hours' written notice.
8.2 Termination takes effect at the end of the current paid month. The Client remains liable for the full monthly fee for the month in which notice is given. No partial refunds are issued.
8.3 REFRY may terminate immediately if the Client:
(a) provides materially false information about fryer use or allergen practices;
(b) fails to pay any sum due within 14 days of the due date;
(c) presents fryers in an unsafe or unsuitable condition on repeated Visits.
9. Photos and Marketing
9.1 REFRY may, with the Client's express consent, use anonymised before/after oil photos for marketing purposes. No business name, address or staff image will be used without separate written permission.
9.2 The Client may withdraw consent at any time by emailing REFRY.
10. Equipment and Damage
10.1 The VITO Oil Filtration System remains at all times the property of REFRY and is operated only by REFRY personnel. The Client shall not move, modify or operate the equipment.
10.2 REFRY is responsible only for damage to the Client's fryer or equipment that is caused directly by REFRY's negligence in operating its equipment and that is identified, inspected and reported to REFRY's operative before that operative leaves the Client's premises. Any damage not raised with REFRY before the operative leaves the premises will be treated as not attributable to REFRY, and REFRY shall not be liable for it. The Client is responsible for damage to REFRY's equipment caused by the Client's faulty, unsafe or undisclosed fryer condition.
10.3 The Client is encouraged to inspect the fryer together with REFRY's operative at the end of each Visit.
11. Governing Law
11.1 These Terms are governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
